The Rights Dilemma of the Shareholders of Parent Company towards Subsidiary Company and Solution

母公司、子公司出现后,二者具有同样的法律主体地位,母公司股东的权利保护难以通过如股东会等进行权利诉求表达,而子公司对于母公司的股东却有着重大的法律利益,中国现行公司法对于母子公司的规制,只规定了母公司、子公司的法律地位,尚未确立其他法律规则。基于此,本文试图探寻母公司的股东对子公司权利保护基础与权利保护的实现方式,解决母公司股东权利保护问题。

Parent company and subsidiary company have the same legal position. However,it is difficult o protect the rights of shareholders of parent company,and to the shareholders of parent company,subsidiary company has important legal benefits. Now in China's company law the legal position of parent company and subsidiary company is defined,but other legal rules have not been defined. This paper tries to explore and solve the problem of the rights of the shareholders of parent company.
