摘要
公司是现代市场经济的基础。文章从完善公司立法和建立现代企业制度的双重视觉出发,论证了要建立健全我国的公司治理制度、推进国有企业改革,就必须从公司之根本入手,首先要重构公司治理结构的法治基础,其次应当重塑公司外部治理的法治基础,最后应当从股东会和董事会入手建立和修正国有独资公司的组织机构。
Company is the foundation of modem market economy. In the sense of developing legislation about company and establishing modem enterprises institution, this paper expounded the necessary measures of corporate governance: The first step is to rebuild the legal base of the construction of corporate governance .Secondly, to remodel the legal basis outside corporations is very important. Finally,we should reform the construction of whole state-owned companies, especially their shareholders meetings and boards of directors.
