This paper explains that the establishment of secondary market is the key resolution to solve the problems of beneficial right transaction. Establishing the secondary market can strengthen the investment protection, accelerate the development of trust and promote trust supervision and administration. On operation, some measures should be set up, such as standardizing capital trustproducts, depending trust net work, making transaction experiments in the main market, and providing favorable policy environment for the establishment of secondary market.
