我国上市公司治理结构存在的问题与对策研究

A Study of the Problems in the Listed Companies and Countermeasures

本文从公司治理结构的涵义出发 ,分析了现阶段我国上市公司治理结构中存在的问题 ,如股东大会职能虚化、董事会内部人控制、监事会职能难以发挥、独立董事未实质性介入公司事务等 ,进而剖析了这些问题产生的原因。最后提出了改善我国公司治理结构的具体对策 :明晰产权 ,优化董事会、监事会和管理层的制衡机制 ,完善独立董事制度和经营者激励机制等。

Based on the concept of corporal administration structure, this article analyzes the problems in the administration structure of listed companies in our country at the present time. Examples are: the function of shareholders' meeting is suspended; board of directors is controlled; no proper role is given to board of supervisors; independent directors are not really involved in the company's businesses. The causes of such problems are analyzed. Finally concrete countermeasures of improving corporal administration structure are put forwarded: distinct property rights, optimizing the mechanism of checking and balancing by board of directors, board of supervisors and administration and supervision authorities, perfecting the system of independent directors and the operator's incentive mechanism.
