摘要
员工参与管理既是企业对员工实施有效地激励与约束的重要手段,又是解决企业管理过程中存在的信息不对称,提高企业管理效率的重要途径。由于制度环境和历史文化传统不同,各个国家员工参与企业管理的形式不尽相同。有着社会主义传统的大陆法系国家主要通过立法规定劳工代表必须进入董事会、监事会;有着自由主义传统的英美法系国家强调员工参与企业管理的自愿性,主要通过集体谈判,把职工参与与工会活动结合在一起,并通过职工持股计划对员工实施长期的激励与约束;职工代表大会是有中国特色的职工参与制,在现代企业制度下强化职工民主管理既要完善职代会制度,又要借鉴国外成功的经验。
That employees participate in business management is not only important incentive and restrictive means, but also a significant way by which the firm can eliminate asymmetry-information, and improve the efficiency of business management. Due to the difference in system and historical cultural tradition, every country has different forms in business management. With socialistic tradition;the continental law system countries provide by legislation that representative of workers must enter board of directors and supervisory committee. With liberalism tradition the Britain and American law system country emphasis on voluntariness, which combine staff's participation with activities by collective bargaining, and inspire and restrict workers by employee stock ownership plan (ESOP). Workers congress is a Chinese characteristic institution. Under the modern firm institution, strengthening the staff's participation in business management should perfect workers congress, as well as using the experience of other countries for reference.
