一人公司是公司制度发展过程中出现的新型公司形式，世界各国对待一人公司的态度各不相同。因此，一人公司是各国公司法理论研究中的热点问题。本文在对各国关于一人公司立法现状作出考察分析的基础上，就关于一人公司得到承认的原因及其在我国的适用状况作出了分析论述，并就一人公司在我国遇到的问题提出了积极的解决对策，以对我国的一人公司立法有所裨益。

One man company is a new form of companies which emerged during the development of the company system and towards which the attitude varies from country to country. Therefore, one man company becomes a popular topic in the theory of company law. Based on the exploration and analysis of the legislation of one man company in several countries, this paper has a analysis and statement about the reason that one man company is admitted and the state of its application in our country, and put forwards how to solve the problems which one man company encounters, so as to bring benefits to the legislation of one man company in our country.
