企业是一组共同投资的合约,即人力资本与非人力资本产权所有者为了共同投资而出让产权的市场合约,而单位化(公有制)企业的性质在于虽保留了共同投资合约的外壳,但却失去了合约的市场化交易产权的实质,而这种非市场合约形成的原因,隐藏于国有产权悖论之中,即由于国家行政权力对不同资本所有者产权的限制。
