我国公司治理模式之构建

On the Establishment of Corporate Governance Model in China

由于各国公司所处环境不同,公司治理模式也有所不同。运用代理理论剖析西方发达国家公司治理模式的异同,分析其有效性、不足及发展趋势。结合我国目前的国情,构建适合我国公司治理模式——二元共同治理模式,提出分类实施的思路。

In the course of the corporate development, the governance models are different because of different environments in various countries. Using agent theory, this paper analyzes the similarities and differences of corporate governance models in the developed countries, and their validities, deficiencies, and developing trends.On the basis of analyzing our country's current situation, this paper will build up a binary joint governance model adapting to the corporate reality in our country and put forward an idea for sorting implementation.
