摘要
管理层收购(MBO)作为杠杆收购的一种,在实施的过程中需要大量的外部资金。管理层在融资的过程中还存在很多的问题,如融资渠道狭窄、融资方式的法律障碍、融资的还款风险、融资活动的暗箱操作等等,本文对各种问题进行了分析,并提出应该尽快采取措施对管理层收购的融资问题进行规范,促进证券市场健康的发展。
To be one kind of leveraged buy-outs (LMO), there need a greet deal of external funds during the course of implement. At the same time, there are many other problems during the course of financing, such as narrow financing method, legal obstacle, the risk of return, stealthy operation. To solve these problems, this article give a detailed analysis, and put forward some suggestion to the financing of MBO.
