摘要
独立董事制度在我国的完善和发展,需要突破对许多具体制度的设计,其中一个经常被忽略的实质问题就是独立董事的薪酬制度。在我国建立完善独立董事薪酬制度的重要性极其突出,对其具体制度的设计也成为完善独立董事制度的难点。我们必须充分考虑报酬激励对独立董事独立性的影响,同时保持其所获利益与其独立性之间的平衡。
The perfection and evelopment of independent director system need to break through the design of a lot of specific systems in China.One of these virtual problems that have been neglected is independent director salary system.In our country,the importance to establish and perfect independent director salary system is very outstanding.In addition,the design to the system will become the difficulty of system perfection.Therefore we should sufficiently think over the influence of salary encouragement to the independence of independent director.Simultaneously.We must keep balance of the benefit and the independence.
