我国公司法引入累积投票制度的必要性质疑

A Challenge to the Necessity of Bringing Accumulated Voting System into the Company Act of China

起源于美国的累积投票制度,其目的是为了保护中小股东的利益。笔者认为,累积投票制度好处仅停留在理论层面上而实际上弊端丛生,没有引入的必要性。从法律经济学的角度分析,我国《公司法》应侧重于对中小股东利益的事后保护。

Accumulated Voting System, originated from the US, is to protect the interests of minor shareholders. The author believes that this system is advantageous only theoretically and there are disadvantages in reality, so there is no need to bring it in. By legal economics, Company Act of China should emphasize the afterward protection of the interests of minor shareholders.
