An Analysis of Listed Companies′spending Raised Funds

规范上市公司募集资金使用行为是证券市场监管的重要组成部分。目前,滥用募集资金是我国上市公司运作不规范的主要表现之一,也是投资者的利益受到损害的最大隐患。文章在阐述我国上市公司募集资金使用现状及存在问题成因的基础上,探讨了规范上市公司募集资金使用行为的具体措施,即:强化募集资金使用过程的信息披露、改善上市公司的法人治理结构、加强募集资金投向的内部管理、强化对公开募集资金的法律约束。

To supervise listed companies′spending raised funds is an important task of supervisors of security market. At present,abuse of raised funds reflects the improper operation of listed firms in China,which is the greatest hidden peril endangering the interest of investors. The paper,through analysis of listed companies′spending raised funds and existing problems,seeks countermeasures to supervise listed firms to use raised funds properly,i.e.,reinforcing information release in the process of spending raised funds,reforming the legal person structure,strengthening the interior management and reinforcing lawful binding of raised funds in public.
