摘要
监事会和独立董事作为公司法人治理结构的两种监督机制具有各自的特性,在我国现有经济体制 下,更应当将二者有机结合,从而克服机构重复设置给公司带来的资源浪费。
Board of Supervisors and Independent Directors are two kinds of supervisory patterns in the corporate governance, and they have different characters. However, in the recent economic system, it is necessary combine these two patterns in order to avoid the waste of corporate resources brought about by the reduplicated installment of institutions.
