铁路企业辅业改制存在的法律问题与对策

Legal Problems Existed in Railway Transport Enterprise when Turning Secondary Lines of Business into Independent Companies and Counter Measurements

随着铁路企业改革的发展,已经初步实现了辅业与运输主业的分离,辅业在逐步实现向国有独资公司制的转变。但目前许多改革措施并没有实现预期的效能,产权关系、母子公司结构、劳动关系转换、干部管理机制、法人治理结构等存在着诸多的法律问题,通过对这些问题的分析提出有关参考建议。

With the development of railway enterprise reform, the secondarylines of business for these enterprises have been preliminarily separated frommajor business and are transforming towards exclusively state-owned companysystem. However, many reforming measures have not yet achieved the expectedresult so far. There still exist a lot of legal issues, such as ownership relation,structure of mother company and subsidiary company, transform of employmentrelationship, cadre management system, operation structure of legal person, etc.The paper then puts forward relevant suggestions based on an analysis to theseissues.
