目前中国的大多数股份有限公司为非上市公司,并且在短期内无法完成上市。如何在非上市公司内有效地进行股权激励具有较大的现实意义。本文以股权激励的理论为基础,分析其关键要素从而得出非上市公司在实施股权激励时的现实障碍并试探性地给出对策。

At present most of chinese stock company is unlisted,which can not be chan ged in few years.How to actualize Stock-based stimulation plan effectively is ve ry helpful.Based on the theory of Stock-based stimulation,the paper analyse the key factor of Stock-based stimulation,then we educe the obstacle of putting it i n practice in unlisted companies and bring forward the countermeasure tentativel y.
