我国企业并购中的产权问题分析

An Analysis of the Issue of Property Rights in the Merger and Acquisition of Enterprises in China

企业并购作为存量资源重组的重要形式 ,其效应已在经济体制改革过程中逐渐显现出来。而产权结构的不合理 ,却大大限制和阻碍了我国企业通过并购进行资本重组以实现资源的合理配置。针对目前企业并购的产权制度问题 。

Enterprise merger and acquisition (M&A) is an important form of reassembling stock resources.Its benefit has come to light in the course of economic restructuring.But the irrational structure of property rights has greatly limited and hindered capital reorganization of China's enterprises by means of M&A for the purpose of rational deployment of resources. In this paper,in view of the problem of property rights system in enterprise M&A prevailing in China today,some suggestions are proposed on system arrangement and policy formulation so as to be applicable to enterprise M&A in China.
