Enhance the Governance Structure of State-owned Commercial Banks

建立良好的公司治理结构是我国商业银行改革的关键。本文分析了我国商业银行公司治理结构的现状,指出了商业银行公司治理结构中存在的问题以及建立良好的公司治理结构的必要性。在借鉴国外先进经验的基础上,推进股权结构合理化;强化董事会的职能;建立目标责任制和激励约束机制;完善的信息披露和市场约束;建立完善的国有商业银行外部治理结构,促进我国商业银行的稳健经营和健康发展。

Establishing a good corporate governance structure is the key of the commercial banks reform in our country. This paper has analyzed the present situation of the corporate governance structure condition of commercial banks in our country, and has pointed out the problems existing in corporate governance structure of the commercial banks and the necessity to establish a good corporate governance structure. In foundation of drawing advanced experiences from abroad, we should promote the structure of the share ownership rationalization; enhance the function of directors; establish the target-duty system and encouragement and stipulation mechanism; perfect the information disclosure mechanism and the market control and establish the perfect of exterior governance structure of the state-owned commercial banks manages, promote the steady management and healthy development of the commercial banks in our country.
