摘要
职工进入董事会、监事会参与公司治理是德国、法国及其他一些大陆法系国家广泛存在的一种公司治理模式。其健全的法律保障、完善的组织形式及成功的经验均值得我们借鉴。本文对西方国家职工董事的成因和利弊进行了相关分析,并提出了建立我国职工董事制度的相关建议。
A kind of corporate governance mode, by which employees participate in all decisions through entering the directors' board and supervisory board, exists extensively in Germany and France and other continental countries. Its sound law guarantee, and the perfect organized form and successful experience all deserve us to draw lessons from. The author makes an analysis about the origin and gains and losses of worker director, and brings up own viewpoint about the same question in China.
