摘要
在跨国并购过程中,围绕企业核心能力而建立的管理整合战略,要比简单粗暴的全盘复制整合模式或无所作为的维持独立整合模式更易获得成功,更遑论仅仅因为机会诱人而一时冲动产生的并购念头。本文将跨国并购的战略目标分解成为产业供给不足、×-非效率、寻求垄断、全球化之窗以及提升核心能力等不同类型,并以比亚迪收购秦川汽车为例,说明跨国并购的战略目标及具体操作过程中应该注意的关键问题。
In the process
of tansnational M&A, the management in-
tegrating strategy based on core ability of
enterprises is more easily to gain success
than simple, rough across-the-board copy
integrating model or maintaining inde-
pendence integrating model which does
nothing in fact. The M&A idea on impulse
only because of the tempting chance is
surely out of our consideration. The article
attempts to divide the strategic target in
transnational M&A into deficiency of in-
dustrial supply, X-inefficiency, seeking
monopoly, the windows of globalization
and promoting core ability, etc. It also ex-
plains the key problem of the strategic tar-
get in transnational M&A and the practice
process, giving the example of BYD
which purchased Qin Chuan Auto.
