摘要
本文从各国立法、法理、经济分析和我国国企改革与破产等方面论证了确立董事对第三人的法律责任的必要性 ,认为应在修改公司法时引入董事对第三人的法律责任。
The thesis discusses the mecessity of legislation of the directors' responsibilities for the third parties, thinking that it should be adopted when Company Law is modified.
