摘要
现代公司制度的实质是人力资本所有者和非人力资本所有者(即财务资本出资者)的巧妙分工条件下更加凸现人力资本的直接、能动和决定性作用的一种制度安排。尤其是在我国的现实条件下,在财务资本所有者、经营者和政府的博弈之中,需要深入分析上市公司及非上市公司经营者股权激励(尤其是针对于高管人员)的运作状况。
The corporation system of modern enterprise is agency-principal system based upon the artful cooperation between human resource owners and financial owner. In the games of financial owners, entrepreneurs and government in China, it is urgent and very necessary for us to analysis the operation of ownership incentive for motivating and detain entrepreneurs, especially senior managers.
