现物出资瑕疵法律问题探析

现物出资是公司设立的出资制度中较为敏感的话题。以现物出资不仅要符合出资协议的约定,而且必须符合公司法的规定,否则,即构成瑕疵。现物出资瑕疵包括标的物上的物的瑕疵和权利瑕疵,也包括出资行为的瑕疵。为了保证资本充实原则,现物出资人负有瑕疵担保责任,否则,出资人应当承担法律责任。按照出资瑕疵被发现的时间不同,可以分为公司设立前发现瑕疵的法律责任与公司设立后发现瑕疵的法律责任,按照瑕疵大小的不同,又可分为出资达到法定最低资本限额时的责任与未达法定最低资本限额时的责任。

According to the time of finding out defects in investment,legal obligation can be divided into legal obligation before establishment of the company and legal obligation after establishment.According to big or small of defects,legal obligation also can be divided into legal obligation of investment reaching the lowest capital and not reaching the lowest capital.
