我国上市公司经营者长效激励机制研究

On Long-term Pay Incentive Mechanism for Managers of Listed Companies

摘要 本文根据上市公司经营者长效激励机制设计原则,提出增值奖股、直接购股、虚拟股份、分红权和股票期权等激励模式,并指出目前实施上述长效激励机制的政策限制以及突破这些限制的配套措施。 A series of pay incentives can be adopted to stimulate the initiatives of managerial personnel of listed firms, which include stock bonus based on added value, direct purchase of stocks, virtual stock, benefit sharing and stock option grants,etc. the paper studies the barriers in policies which limit the adoption of the above mentioned incentives. The author puts forward coordinated measures to break down the barriers.
