从企业的产权特征及人力资本的产权特征入手,提出人力资本特别是企业家能力的重要性,分析了在固定思维的模式下国有体制的弊端,提出了企业所有权的最优机制设计。

Starting from the property right characters of enterprise and the property right characters of human capital, this paper points out the importance of human capital especially of the enterprisers, analyzes on the shortages of the state-owned system under the fixed thinking modes, and puts forward the design of optimum mechanism of enterprise's ownership.
