摘要
公司在长久的发展过程中,重构是调整其发展方向的重要手段之一。分拆作为一种新型的公司重构方式,正在欧美大公司中悄然兴起,并有向世界扩展的趋势。本文首先介绍了公司重构与企业分拆的定义;接着结合具体数据,阐述了以分拆为特征的公司重构的趋势和特点,并对公司分拆的六个主要动因进行了分析;随后文章介绍了惠普公司分拆的案例;最后,文章对公司重构和分拆作了一个总结与启示,提出分拆是企业集团重构的一种重要手段,是公司提高其竞争力的有效方法之一。
During the long development process, an enterprise needs corporate restructuring to adjust its direction. As a new kind of corporate restructuring method, split - up now gradually appears in the European and A-merican enterprises. Firstly, this article introduces the definition of corporate restructuring and split - up. Secondly , it analyzes the trends and characteristics of corporate restructuring which is characterized by split - up. Thirdly, it analyzes the motivations of split - up and six main reasons are mentioned. Then, it introduces a case of corporate split -up, which confirms the author' s main view. Finally, the article draws a conclusion and gets some inspiration of corporate restructuring and split - up, and it points out that split - up is an significant method of corporate restructuring and one of the effective ways that can make the enterprise more competitive.
