摘要
市场经济发展,企业对管理的呼唤,使职业经理人市场逐渐形成。但如今,我国职业经理人市场还存在许多问题,主要是激励和约束机制的缺乏和不当。对职业经理人的激励机制主要是股票期权制度,而约束机制包括内部约束和外约束。
With the development of economy and enterprises’ demands for professional executives, professional executive market comes into being. However, there are many problems in the market and the key is the lack of mechanism of stimulation and restriction. This paper suggests the ESOP is available to being a stimulation mechanism of professional executive. In addition, it also holds that the restriction mechanism should contain inner restriction and outer restriction.
