摘要
经营者革命以 2 0世纪 30年代以后、特别是二战以后西方发达国家的经济和社会的变革为背景 ,主要表现为公司经营者权利的膨胀与扩张。在全球范围内持续演绎的大规模的“经营者革命” ,不仅加剧了股东大会的形式化 ,而且逐步偏离了“董事会中心主义”的公司治理理念及其规则 ,甚至促使董事会趋于失灵 。
Managers revolution”, with a background of the economic and social change in the west developed countries since 1930s, especially since the 2nd world war, mainly took the form of managers' power expansion. The global continuous “managers revolution' not only exacerbates the weakening of shareholders' meeting, but also diverts from the corporate governance notion and rules of “directors centralism', even causing the failure of boards. As a result, the system of corporate governance has been pushed to innovate.
