The Human Capital Investment and the Configuration of Multilateral Corporate Governance

摘要 企业专用性的人力资本投资是知识经济时代企业生存和发展的重要因素。由于专用性投资存在被其它企业参与者的机会主义行为剥削的可能,专用性的人力资本投资者有控制权的要求;专用性的人力资本投资在团队生产中需要给予剩余索取权的激励才能更好地发挥他在创造价值中的作用。因此,企业治理结构的演进表现为人力资本参与企业治理。 The firm-specific human capital investment is an important factor to the existent and development of firm in the era of knowledge economic. The firm-specific human capital investment may require the residual rights of control, because of the probability of the expropriation come from the other participants' opportunism actions. The firm-specific human capital would contribute to the creation of the value only if they would have been acquired the residual rights of claimant. Hence, the evolution of the corporate governance may be exhibited the participation of human capital.
