摘要
本文试就期股制的内涵及其不宜在国有中小企业全面推广的原因做初步探讨。认为当前我国中小企业的任何激励与约束都应建立在健全完善的法人治理结构上，推进现代企业制度的建立。
The article initially probes into the connotation of the system of future stock and the reasons why it is unsuitable to spread on a large scale among small and medium state enterprises. It points out that at present in our country any inspiration and restraint of small and medium enterprises should based on the prefect structure of corporation administration to give an impetus to establishment of modern enterprise system.
