How to Deal with the Relation Betwecn Independent Director and Board of Supervisors

引进独立董事制度对于完善我国公司的监督机制具有重要的意义．但要使其和我国现有的法律制度相互融合，还存在众多的障碍。本文从独立董事的基本功能出发，分析了独立董事与监事会的不同，并进而提出了架构独立董事与监事会关系的建议。

The impendent director system has important significance to improve our country's corporate governance structure. But now, there are difficult problem for creating independent director system in China. The article studied the modern experiences in the foreign countries,analyzed the difference of independent director and board of supervisors, and adduces some approaches to deal with this problem according to the actual condition in China.
