摘要
企业治理结构是一种制度安排,其核心是所有权的安排。企业追求发展的过程也是对治理结构动态调整的过程,但是制度结构的变化不仅受外部的经济环境的约束,还受到内部各因素的制约。本文从信息传递、人员激励以及企业管理制度的角度,分析它们在治理结构变动中的作用,并试图从这些分析中解析对变动中的企业稳定发展有利的对策。
Corporate governance is an arrangement of system, which core is the arrangement of ownership. The way of the corporate growing is the constant adjustment of corporate governance. But this adjustment is affected by the economic socialism,the inter factor of corporate governance. This paper will analyse the outside and inside factor, such as information transmitting,person incentive,management of the corporate, which will have influence on the corporate governance. From the analysis, we try to find the way to keep the corporate growing stably.
