By using empirical and normal analyses,this paper holds a discussion about the base of the employee stock ownership in the stateowned enterprises,and then conduces that it is not only possible but also necessary for the stateowned enterprises to carry out the employee stock ownership system under the modern firm institution.Moreover,according to our country's present practical situation the paper builds the employee stock ownership system in our country.
