授权资本制度不适合我国之法理学思考——论中国公司资本制度的改革

On the Reform of Capital System in China

随着知识经济和全球化的到来,各国掀起一股资本制度改革的浪潮。我国也必须顺应这一世界潮流,否则将会为时代所抛弃。但是顺应不代表盲从,因为各国的立法并不存在一个统一的模式,而且不论是从法社会学角度来看,还是从价值目标的理性选择来看,授权资本制都不适宜我国的国情和现实情况。所以借鉴和吸收其先进的法律意识和法律理念并在此基础上完善和改进法定资本制才是我国资本制度改革之正确选择。

With the approaching of knowledge economy and globalization,the reform of capital system is carried out in many countries.China has to be adapted to this worldwide trend,too; otherwise China will be left behind.However,adaptation does not mean following blindly,since there is no single model for legislation in different countries.Besides,the system of authorized capital cannot be applied to the situation and realities in China either from the perspective of legal-sociology or the rational choice of values and aims.So the right choice for the reform of capital system in our country will be to consult and absorb the advanced legal consciousness and ideology of other countries,and on this basis to perfect and improve our legal capital system.
