国有企业公司治理结构的完善与产权制度改革

产权制度是基础,公司治理结构是上层建筑。完善公司治理结构应从改革产权制度着手。目前,产权主体单一导致一股独大;产权关系模糊导致公司治理结构的不规范,企业难以成为真正的市场主体;所有者缺位则引起内部人控制问题。为此,改革的重点应该是积极推进投资主体多元化,股权分散化,实现国有企业产权结构的创新;确立法人财产权,理顺产权关系;解决企业内部所有者缺位问题,根除滋生“内部人控制问题”的土壤。

As is well-known in the business world, the Property right is the base and management framework of a company the superstructure. We should begin to reform property rights first if we want to make management framework perfect. At present, single property right leads to a larger stock; blurry relationship of property rights leads to lack of criterion in management framework of a company. So the companies cannot really become the main body of a market. Out of owners bring about inner controlling problem. Therefore, to realize the innovation in property rights of state-owned enterprises, the emphasis of reform should be to laid on pluralization of investment bodies and decentralization of stocks. We should establish the equity right of the juridical persons and clarify the relationship of property rights. We must dissolve the problem of lack of proprietors in a enterprise so as to uproot the soil of “inner controlling problems”.
