摘要
航次租船合同的仲裁条款并入提单,随着提单的转让,在承运人和非租约当事人的提单持有人之间的效力问题,在相关法律和司法实践中仍比较混乱。仲裁条款并入提单约束提单持有人的理论基础、形式要求、准据法等等都是要解决的相关问题。现参考国际公约和商业、航运惯例,并借鉴主要贸易、航运国家的立法,结合《海商法》和《仲裁法》等法律法规在我国的法律框架下分析相关的问题,以找出我国立法司法的不足之处,提出相应的解决方法。
When arbitration clause under voyage CP is incorporated into bill of lading and is transferred with B/L, the effect problem of the arbitration clause between the B/L holder and the carrier is still in a state of chaos in both legislation and relevant judicial practice. And the theory basis, the form requirements and the applicable law of this incorporation of arbitration clause are all the problems to be solved. This paper refers to relevant international conventions, commercial and shipping practice, legislation of major shipping and trade nations, and also combined with the Maritime Law and the Arbitration Law, etc. analyzes related problems in the frame of Chinese law in order to find the shortages in the field and to put forth corresponding suggestions for solution.
