公司法人治理结构是维系公司健全经营的制度安排，世界上两种 模式并存且相互融合，其本质的规定性是一致的。其运作沿着所有权—股权—公司法人财产 所有权—经营权的脉络，主旨在于寻求利益的最佳平衡。我国公司治理结构方面存在许多问题，既有制度本身的原因，也有运作方面的原因，必须加快搞好外部环境的改善、制度的构 建和人才的选拔奖惩，完善法人治理，促进经济发展。

The corporation body management construction is the systematic arrangement to keep corporation management regular.In the world,there are two ki nds of modes which coexist and blend.Also,their stipulations of the nature are consistent.The operation is by way of ownership-management right,the main aim of which is to seek the best balance of interests.There are many problems existing in our country′s management construction.The reasons for these problems come both from the system itself and from the operation.The things which must be done is to quicken the improvement of the outer environment,the construction of the system,the selection,awardness and punishment of the qualified personnel,to perfect the body management and to improve economic development.
