建立现代企业制度，是从根本上转换国有企业经营机制的正确选择。国有企业的＂嫁接＂改造模式是在我国一些国有企业的＂树干＂接种外资这株＂新枝＂，即把引进外资与搞活国有企业结合起来的模式。它同单纯的股份制、承包制相比，对从根本上转换国有企业的经营机制更富有优越性。当然，在＂嫁接＂过程中，特别是如国有资产与外资财产的准确评估等问题，值得注意。

Abstract To establish modern enterprise systm is the correct option for state enteprises to change their managerial mechanism. The 'grafting'remoulding pattern of certain state enterprises in China is grafting on the Trunks mith new branches of combining introducing foreign funds and revitaize state enterprises. It is superior in having radically changed the managerial mechanism to simply conversion to share system or contract system. However, in the course of 'grafting',it is worthwhile to pay great attention to some problems especially the accurate assessment of the stateowned assets and foreign-funded properties to evade cheating and losses.
