摘要
着眼于公司治理核心从治理结构建立转向治理机制优化、从权力制衡转向科学决策的新观念,有针对性地设计一套TMT治理评价指标体系,以期客观判断和测评“内部人(TMT)控制”的风险程度、TMT运作的优化程度、TMT激励约束体系的完善程度,为建立有利于中国上市公司长远发展的TMT治理机制提供参考。
Focused on the transformation from constructing corporate governance to optimizing corporate governance and the transformation from power balance to scientific decisionmaking, this article develops an appraisal index system of TMT governance for Chinese listed companies, which is used to assess the risk of “insider control”, to optimize TMT operation and to improve TMT incentive and constrained mechanism. It will be helpful for the longterm steady development of Chinese listed companies.
