Analysis on the Independent Director System of China

回顾了独立董事制度在我国的发展历程,从公司治理结构模式分析了独立董事制度产生的原因,指出了我国公司治理结构存在的问题及对独立董事制度认识上的误区,从多角度提出了发展和完善独立董事制度的若干建议。

This paper reviews the developing hi story of the independent director sy stem in our country,analyzes on the causes why the independent director system comes into being from the modes of the company managerial structur e,points out some problems existing in our cou ntry' s company managerial structure and s ome errors in the cognation of the inde-pendent director system,and puts fo rward some suggestions of developin g and perfecting the independent dir ector system from different angles.
