独立董事制度源于英美国家,20世纪90年代展开了全球化移植过程。中国引进和移植独立董事制度可以借鉴英美国家公司治理上的先进经验,但必须联系我国客观实际情况,处理好独立董事制度移植本土化过程中的一系列问题,特别是要协调好此项制度与监事会的关系,这将决定着独立董事制度在中国的移植能否成功。

The system of independent directors originated from the Britain and the U.S.Independent directors regime had become fully developed and started being transplan ted around the world after 1990s.However,China should take into acco unt its own specific situations when transplanting the independent directors regime,especially the re conciliation of independent directors and board of supervisors,which i s the key to our success of transplanting t he independent directors regime.
