公司自治与我国公司法修改

The Autonomy of Corporation And the Amendment of Chinese Corporation Law

公司自治是社会自治的重要组成部分,要真正实现必须具备两个基本要件一、公司法律人格独立;二、具有相应的法制保障。但在我国,公司法律人格难以真正独立;非国有公司与国有公司法律地位不平等;公司法重强制性、实体性规范,轻任意性、程序性规范。因此,为保证公司自治,必须对公司法作相应修改。

The autonomy of corporation is an important part of the social autonomy. The realization of it needs two basic qualifications: The first one is the legal independent personality of the corporation; The second one is the necessary legal protection. But in our country, what makes the autonomy of corporation inaccessible is the untrue legal independent personality of the corporation; the inequality between the state-owned corporation and the private corporation and much emphasis upon compulsive and substantive articles while less emphasis upon optional and procedural ones. Therefore in order to acquire the autonomy of corporation, the corporation law of our country wants according amendments.
