对我国引入独立董事制度的理性思考

On the Introduction of Independent Director System into China

从“路径依赖”的角度出发,对我国引入独立董事制度进行理性与深入的思考,我们认为:我国并不具备建立独立董事的制度基础;反思我国现行公司监事会失灵的原因并予以革新,才能建立适用于中国的公司治理结构。

From the perspective of “path dependence”, the writers of this paper make a rational and profound reflection of the introduction of independent director system into China and come to the conclusion that in China we do not have the foundation for establishing independent director system and that only after reflecting on the causes for the failure of our current company supervision committee and innovating it, can we establish a company management system that is suitable for China.
