摘要本文第一部分认为基于对信息和知识的不同的基本假定 ,可以区分三种不同的企业理论 ,并进行批判性评述。第二部分将构建一个基于企业能力理论的企业模型 ,这个模型可以将其他的企业理论作为一种特例加以包容 ,因而具有更强的解释能力。第三部分讨论这个模型的一些理论含义 ,它可以解决交易成本经济学在企业边界决定问题上的缺陷。该模型可以对企业的性质和企业边界问题做出更好的说明。企业能力理论扬弃了新古典经济学对信息和知识的不符合实际的假定 ,对正在努力增强自身竞争能力的我国企业具有重要的现实意义。 The first part of this paper divides theories of the firm into three kinds based on different assumptions for information and knowledge, and provides some comments for these theories. The second part offers a new model of the firm. This model, based on a reconstructed capability perspective, can incorporate the other firms of theories as the special cases. The third part of the paper discusses some implications of this model, which can solve the problem of the firm boundary in transaction cost economics. The capability perspective of the firm explains the nature of the firm and the components of the firm capabilities from a new perspective. This theory has important practical meaning for those firms trying to strengthen their competitive competence.
