The Management and Supervision of Corporation Enterprises in the Late Qing Dynasty

清末时人们对公司企业的法律属性有了进一步的认识,揭示了洋务官督商办股份制企业治理机构和监管机制方面的弊端,要求政府立法规范公司企业的内部运作。清末《公司律》的出台,一定程度上适应了公司企业实践发展的需求,为清末公司企业的发展提供了基本的法律制度框架。同时,实业界、思想界人士从不同角度对公司企业的治理与监管问题进行了更为深入的探讨。

In the late Qing Dynasty, people had a further recognition about the lawful nature of corporation enterprises. They exposed the disadvantages of the management organs and the supervision mechanism of the stock-enterprises in the Westernization Movement, and required that corporation enterprises should regulate the inner operation through the law. The Law of Company worked out at the end of the Qing Dynasty to a certain degree suited to the development of corporation enterprises and offered the basic frame of law system for the cooperation activities. Henceforth, people made new exploration about enterprise management and supervision in practice and theory.
