摘要
本文针对国企改革过程中出现的“所有者缺位”、“内部人控制”及所有者与经营者之间存在“界面”等问题 ,提出解决“界面”问题的关键在于将其“钝化” ,通过适度分散股权“钝化”“界面” ,通过股权多样化和适度分散化制衡“内部人控制” ,通过职工持股加强企业内部管理和监督。
In accordance with the problems during the course of state-owned enterprises reformation,surch as Vacancy Of Owner,Insider Control and the “interface” existing between the onwers and managers,this article puts forward that the key to solve the “interface” is to passivate it;passivate the “interface” by properly dispersing the stockholder's equity;restrict the Insider Control by diversity and dispersion of stockholder's equity; strengthen internal management and supervision of enterprise by employee stock ownership.
