以国家制定的《公司法》为依据,对股份有限公司的概念、特点、设立及其治理结构进行了详尽的介绍,并在此基础上阐述了股份有限公司融资、建立现代企业制度、产权激励等主要功能,分析了股份有限公司这种现代企业制度的利弊,指出国有企业改革者应以一种理性的态度认识股份制改造。

Based on the <Company Law> of China, this paper expounds the concept, characteristics, establishment and its administering structure, and based on this, expounds the main functions of the stock co.,ltd. such as financing, establishing modern enterprise system and property right excitation, analyzes the advantages and disadvantages of the modern enterprise system of the stock co., ltd, and points out that the innovators of state-owned enterprises should recognize the reform of stock system transformation with a rational attitude.
