我国引进设立独立董事的目的依据是解决委托人同代理人由于信息不对称而产生的代理人的机会主义行为，借以弥补我国现行公司治理结构的缺陷。然而，在实践中独立董事的种种弊端一一暴露出来，说明独立董事制度同我国旧的公司治理结构并非完全兼容。
