Effect of Ownership Structure on Corporate Governance of Public Companies

我国上市公司不合理的股权结构使得公司治理机制产生了多方面的问题:内部人控制、控股股东攫取控制收益、资本市场投机气氛浓厚等。文章分别就一般法人股和国有股提出了优化建议。

At present,the unreasonable ownership structures of public companies have brought about many problems in the corporate governance.For example,internal-control,the shareholder who controls the company invading other shareholder’s benefits and the speculation prevailing.The author gives some suggestions about optimizing the structure of two kinds of ownership:state-owned shareholding and the shareholding owned by ordinary companies.At the same time,the author gives some suggestions about developing institutional investors.
