企业并购的发展与企业制度密切相关：企业并购多产生于市场体制企业制度系列，在市场体制企业制度系列中企业并购易发生在股份公司，在股份公司中企业并购极易发生于治理结构补偿机制健全的企业。因此，只有继续加速市场化进程，加快产权制度改革，规范法人治理结构，才能为我国企业并购的发展提供良好的制度环境。
