法人交叉持股对公司治理的影响与监管

Influence and Supervision of Corporation Cross HoldingOwnership on Corporation Governance

交叉持股是维系法人之间产权联系的纽带,在一定程度上可以加强公司之间的联系、降低公司经营风险。然而,法人交叉持股也是不公允的关联交易的根源,可能损害其他投资者的利益,不利于公司之间的合理竞争。在我国现有的条件下,采取完全否定或者放任自流的政策都是不可取的。由此,分析了法人交叉持股对公司经营和治理的影响,探讨了规范交叉持股行为,加强监管的方法。

<Abstrcat> The influence of corporation cross holding ownership on the corporation running and governance is analysed.Cross holding is the ties of ownership linked the corporations together,which could strengthen the relationship between these corporations,lower the operation risk;however,which is the source of unfair transactions between relations,maybe violates the interests of other investors,and is unfavorable to the competition. Considering the present conditions in China,neither prohibition nor laissez-faire is desirable.In order to enlarge the advantages and overcome the disadvantages,how to norm the cross holding and streng then the supervision is discussed.
